Terms of Use

Please read these terms carefully before using our platform.

1. Acceptance of Terms

By accessing or using BioSuite Virtual (the "Platform"), operated by Prism Immersive ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use the Platform. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

BioSuite Virtual is a learning management system that provides immersive bioprocessing training through virtual reality (VR) modules. The Platform enables:

  • Student registration and enrollment in training sections
  • VR headset pairing for immersive training sessions
  • Progress tracking and knowledge assessments
  • Professional credentialing and certification
  • Instructor and institutional management tools

3. User Accounts

To use the Platform, you must create an account. You agree to:

  • Provide accurate, complete, and current information during registration
  • Maintain the security of your password and PIN
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for extended periods.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Share your account credentials, pairing codes, or credential unlock codes with others
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Platform's infrastructure or security features
  • Reverse engineer, decompile, or disassemble any part of the Platform or VR application
  • Use automated tools (bots, scrapers, etc.) to access the Platform without authorization
  • Submit false or misleading information during credentialing assessments
  • Circumvent seat licensing restrictions or pairing code security measures

5. Institutional Access & Seat Licensing

Access to BioSuite Virtual is provided through seat licenses purchased by educational institutions and organizations. Each seat license is allocated to an individual student and is non-transferable. Your institution is responsible for managing seat allocations. If your organization's seat limit is reached, new registrations may be blocked until additional seats are acquired.

6. Credentialing

Credentials earned through the Platform are subject to the following conditions:

  • Credentialing exams require a valid unlock code from your instructor
  • A 14-day cooldown period applies between credentialing attempts
  • Credential records may have an expiration date set by your organization
  • We reserve the right to revoke credentials obtained through dishonest means
  • Passing results are reported to the designated credentialing authority

Credentials issued through BioSuite Virtual represent completion of specific training modules and should not be considered a substitute for any government-issued licenses or certifications unless explicitly stated.

7. Intellectual Property

All content, software, VR modules, graphics, trademarks, and other materials available through the Platform are the property of Prism Immersive or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Platform content without prior written consent.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.

9. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • The Platform will be uninterrupted, error-free, or secure
  • Training content is a substitute for hands-on laboratory experience or professional supervision
  • Credentials earned through the Platform will be recognized by all employers or regulatory bodies

10. Limitation of Liability

To the maximum extent permitted by law, Prism Immersive and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, loss of credentials, or interruption of training.

11. Indemnification

You agree to indemnify and hold harmless Prism Immersive and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

12. Changes to Terms

We reserve the right to modify these Terms of Use at any time. Material changes will be communicated to registered users via email or through the Platform. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised terms.

13. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in the State of California.
